Terms of Service
Effective October 26, 2026. Until then, the previous Terms apply. They are available on request from legal@elitereply.com.
1. Definitions
Here’s what the key terms mean in plain English — so the rest of this document makes sense without a law degree.
2. Acceptance & eligibility
You must be at least 18 to use the Platform. By using it, you agree to these Terms.
3. The service
EliteReply helps Professionals screen and manage incoming requests before clients reach their calendars.
4. Plans & billing
Free has a configurable monthly request limit. Pro is an automatically renewing monthly or annual Stripe subscription that you can cancel by email.
5. Requests & client payments
Clients submit requests through a Professional’s booking page. EliteReply does not collect or hold payments from Clients for Professionals.
6. Content & intellectual property
You retain ownership of your content and give us a limited license to operate the Platform.
7. Acceptable use
No illegal activity, no harassment, no spam, no selling someone else’s content, no trying to hack or reverse-engineer the platform. We’ll remove accounts that violate these rules — serious violations may be reported to law enforcement.
8. Account suspension & termination
You may request account closure. We may suspend or terminate access for violations, misuse, or legal reasons.
9. Indemnification
You agree to address third-party claims arising from your use of the Platform or violation of these Terms.
10. Limitation of liability
The Platform is provided as available, and liability is limited to the extent permitted by law.
11. Dispute resolution & arbitration
We will first try to resolve disputes informally. Unresolved disputes proceed to individual arbitration under JAMS rules in Wilmington, Delaware, or by video conference at your election.
12. Governing law
These Terms are governed by Delaware law. If a court finds any part unenforceable, the rest still applies.
13. Force majeure
Neither party is liable for delays caused by events outside their control — like natural disasters, internet outages, pandemics, or government actions.
14. Changes to these terms
Material changes get at least 30 days’ advance notice by email and on the Platform. Other changes take effect when posted.
